GOLD SPONSORSHIP AGREEMENT

This Sponsorship Agreement (“Agreement”) is made and entered into as of [Date], by and between:

1. Event Details

Event Dates: August 21-22, 2026

Event Location: Best Western Plus Inn & Suites, 651 Granite Peak Dr., Casper, WY 82609block

Organizer produces the Wyoming Manufacturers Symposium to bring together manufacturers, product providers, service providers, entrepreneurs, speakers, vendors, and business leaders to connect, collaborate, and grow their Wyoming Manufacturing businesses.  The end result is a stronger, more diversified Wyoming economy.  Sponsor desires to support this Event in exchange for promotional benefits as described below.block

2. Gold Sponsorship Package and Benefits

Sponsor agrees to participate at the following Gold Sponsorship level

Gold Sponsorship Fee: $6000

Benefits Include (as applicable to level):

  • 10-Minute Stage Talk

  • Logo on Website and Program

  • Logo placement on event materials, including all communications

  • Two Complimentary Event Passes, including meals

  • Listing in the Exhibitor and Speaker Directory

  • Exhibit booth or Two Table space during the Event

  • Verbal recognition from the stage and inclusion in promotional announcements

  • Opportunity to include promotional items in attendee bags or welcome materials

  • Access to speed networking sessions and collaboration activities

  • Opportunity to provide a door prize

  • Exact benefits may vary by level as outlined in the Achieve Systems Sponsorship Package.

3. Payment Terms

Full sponsorship payment of $6000 is due net 15 days, and no later than June 1, 2026, unless otherwise agreed in writing.

4. Sponsor Obligations

Sponsor agrees to:

  • Provide company logo, marketing materials, and any promotional content by 6/1/2026 to ensure inclusion in event materials.  However, sponsor recognition begins immediately upon registration and payment.

  • Ensure any exhibit booth, signage, or displays are professional, appropriate, and in alignment with Achieve Wyoming’s mission and values (Cowboy Ethics).

  • Maintain a professional and collaborative presence during the Event.  The event begins with an attendee social in the vendor space on Thursday evening, 8/20, and concludes with a mixer in the vendor space on Saturday evening, 8/22.

  • Refrain from promoting products or services that conflict with Achieve Wyoming or its partners without prior written approval.

5. Organizer Obligations

Organizer agrees to:

  • Provide the sponsorship benefits as described in this Agreement or in the applicable sponsorship package.

  • Use reasonable efforts to promote Sponsor in all materials consistent with Sponsor’s level of support.

  • Provide exhibit space, event passes, and benefits as outlined once full payment is received.

6. Use of Logos and Trademarks

  • Sponsor grants Organizer a limited, non-exclusive, royalty-free license to use Sponsor’s name, logo, and brand assets solely for promotional purposes related to the Event.

  • Organizer grants Sponsor a limited license to reference its participation in the Achieve Wyoming Biz Explosion Conference, dba Wyoming Manufacturer Symposium, in Sponsor’s marketing, provided such references are accurate and professional.

7. Cancellations and Refunds

  • If Sponsor cancels participation more than 45 days prior to the Event, Organizer may refund up to 50% of the sponsorship fee.

  • No refunds will be issued for cancellations made within 45 days of the Event.

  • If the Event is canceled or rescheduled by Organizer for reasons beyond its control (e.g., natural disaster, pandemic, venue closure), Organizer will apply Sponsor’s payment toward a future Achieve Wyoming event or offer a comparable promotional opportunity.

  • Should the speaker's topic not be accepted and a reasonable solution not be available, the speaker portion ($250) shall be refunded within 7 days; the vendor portion ($500) shall remain non-refundable.

8. Non-Disclosure & Non-Circumvention (NDNC)

  • Both parties agree to maintain strict confidentiality regarding all information related to the Joint Venture. Neither party shall disclose such information to any third party without written consent.

  • Both parties also agree not to take, share, or sell any materials created by the other party for the partnership or business system at any time.

  • JV Partner Affirms that a more thorough Non-Disclosure shall be implemented for new clients. A template is available upon request, but legal review is required and agreed upon.

Terms of the NDNC

This agreement shall commence on the date of execution of the agreement, and shall continue until terminated by mutual agreement or as otherwise provided herein.

Termination of the NDNC

Either party may terminate this Agreement with 60 days' written notice. Upon termination,m the party providing the service or product will retain all current business referred to before termination.

Indemnification

Each party shall indemnify and hold the other harmless from any claims, demands, actions, and liabilities arising from the other party's actions outside the scope of this Agreement.

Ownership

Neither company in this strategic relationship owns a part or any other part of the other company unless outlined in a separate written agreement.

Ethics & Presenting each other's Businesses

Both parties agree to mutually promote each other's businesses through the joint venture to protect the integrity of both businesses.

Integrity & Tracking Success

  • Comprehensive Client Tracking: We implement a robust system to meticulously track all clients. This ensures transparency and accountability in our partnership.

  • Streamlines Payment Process: We establish efficient, secure payment processes to ensure timely, accurate financial transactions between our organizations.

  • Regular Audits and Reporting: Conducting regular audits and providing detailed reports to monitor progress and promptly address discrepancies.

  • Data Integrity and Security with the highest level of security to protect privacy and ensure data integrity.

  • Collaborative Coordination: Working closely to refine tracking methods and payment procedures, ensuring both organizations are aligned and operating seamlessly.

9. Join Venture (JV) Definition

  • Achieve Wyoming and its parent company provide resources to accomplish its mission. Our ultimate goal is to connect Wyoming Manufacturing companies with each other, and additional resources (such as JV Partners), a collaboration amongst entities will ensue to raise Wyoming manufacturing, thus diversifying the Wyoming economy further while supporting and growing existing economic sectors.

  • These two parties agree to leverage each other's assets to build a strategic partnership that leads to success for both. This relationship includes referral profits paid for referring to each other and positively influencing the success of each business.

  • The goal of this JV Partnership is to create an ongoing, successful referral network in which we consistently promote each other with the best intentions, to do business, and to protect the integrity of both companies.

Speaker | Vendor (JV Partner) Roles

Achieve Wyoming shall provide:

  • Exhibit space at the event and sell your approved products or services

  • A sixty-second opportunity to introduce yourself and the products you offer to the audience during the lunch period.

  • Complimentary invitations to social networking events to grow relationships with entrepreneurs and industry leaders.

  • Opportunity to become an Achieve Wyoming Member.

  • A leadership team of over 30 business-building leaders and over 25 ambassadors through Achieve Systems, promoting each event.

  • The opportunity to join a venture with Achieve Wyoming to sell your products or services to our ever-growing community.

  • Achieve Systems has over $ 50 million in resources to help business owners succeed through our membership.

  • Market you as an industry influencer at the event and after. A load of incredible strategic relationships ready for you.

JV Partner will provide:

  • Their own travel expenses, including airfare, ground transportation, hotel, and meals.

  • You invite ten new guests to the conference, and we provide you with a JV commission on each guest.

  • If one of your guests becomes a member, you can earn additional referral income. Review the refer-and-earn program for details. We believe in strong compensation!

  • You pay 20% Commission on all sales and revenue generated by you at the Wyoming Manufacturers Symposium, August 21- 22, 2026, including initial sales consummated after the Symposium.00

Each party shall provide:

  • Mutual Promotion: Actively promote through various marketing channels, including social media, newsletters, and events.

  • Timely Payments: Ensure referral fees are paid within 5 business days of receipt.

  • Collaborative Marketing: Collaborate on additional marketing and growth ventures as mutually agreed.

  • Event Ticket Sales: Promote and sell tickets for collaborative events.

Recitals

  • The parties wish to collaborate in a joint-venture business operation, focusing on fulfilling the performance obligations outlined in the partnership agreement, primarily through a referral network.

  • Both parties agree that a joint venture is the most effective structure for achieving success by leveraging each company's assets.

  • Financial distributions will be handled as detailed in Exhibit A, with specific products and services listed in Exhibit B. Both parties commit to adhering to the joint venture's terms to ensure mutual respect and deliver optimal service to customers and partners.

Management

The management of the Joint Venture shall be vested in the Achieve Wyoming management team. This team shall have the authority to make all decisions regarding the joint venture's operations and execution.

Contributions

  • Each Party shall contribute resources specified in Exhibit A: Financials & Approved Services

  • Products | Services section: Contributions may include financial investments, event management services, and marketing efforts. Any additional contributions will require the approval of both parties.

10. Profits & Loss

Achieve Wyoming does not warrant profits nor cover losses with the JV Partner. We do, however, warrant our efforts. Any additional contributions will require the approval of both parties.

11. Financials & Commissions

This section provides the financial agreement of this joint venture relationship

  • Event Sales Commission: 20% Commission on all sales and revenue generated by you at the Wyoming Manufacturers Symposium (August 21-22, 2026), including initial sales consummated after the Symposium.

  • Referral Commission: 10% to be paid to Achieve Wyoming, LLC; 90% retained by JV partner for leads generated via the referral network.

  • Speaker Guest Requirement: Speakers agree to bring a minimum of 5 attendees to the conference and receive their JV commission on all sales from those attendees. If a speaker brings 10 attendees, they receive their speaker fee back in commissions.

  • For prototype or manufacturing sales, contact Jim Wilkinson for special commission rates based on profit rather than sales.

12. Independent Contractor Relationship

Sponsor is participating as an independent entity.  Nothing in this Agreement shall create a partnership, joint venture, or agency relationship between Sponsor and Organizer.block

13. Liability and Indemnification

Sponsor assumes full responsibility for its participation and agrees to indemnify, defend, and hold harmless Achieve Wyoming, its officers, staff, affiliates, and agents from any claims, losses, or damages arising from Sponsor’s participation in or presence at the Event.block

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Any disputes shall be resolved in the courts of Albany County, Wyoming.block

15. Entire Agreement

This Agreement represents the entire understanding between the Parties and supersedes any prior agreements or discussions.  Any modification must be in writing and signed by both Parties.block

Exhibit A: Financials & Approved Products/Services

 

This agreement is deemed a joint venture agreement to help both parties achieve business success.  Both parties agree to act in the best interest of both parties.  This section outlines the financial terms of this joint venture and relationship, including the approved products or services we will promote to each other’s leads and refer, and the revenue we will earn.

 

COMMISSION STATEMENT

1.      Commission Calculations: Each party agrees to the following Commission Breakout as a Referral:

·         The commission is based on the total funds collected

·         10% to be paid out to Achieve Wyoming, LLC. 

·         90% retained by JV partner

·         For prototype or manufacturing sales, see Jim Wilkinson at [email protected] for special commission rates and terms based on profit rather than sale.

3.      Honor System: Both parties will operate under an honor system, ensuring mutual respect and adherence to the JV partnership.

4.      Payment Timeline: Payments will be transmitted within 5 days of receipt to the other party’s provided JV account.

5.      Refunds and Chargebacks:

·         No refunds will be provided once registration is completed, access is granted, or services are delivered.

·         If a chargeback occurs within 30 days, the receiving party must refund the commission upon verifying the chargeback.
